Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the WaveLearn platform at www.wavelearn.co.ke (the “Platform”), operated by Wavelink Networks (“we”, “us”). By creating an account or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.
1. Platform Overview
WaveLearn is an e-learning platform that enables instructors to create and sell online courses, and learners to enrol in and complete those courses. The Platform supports video lessons, quizzes, assignments, live streaming sessions, discussion forums, verifiable certificates, and institutional classroom management. Payments are facilitated through M-Pesa, card, and bank-transfer channels.
2. Accounts & Registration
- You must provide a valid email address to create an account. You may also sign in using Google.
- You are responsible for maintaining the confidentiality of your account and for all activity that occurs under it.
- You must provide accurate and up-to-date information. You may update your profile at any time in your account settings.
- You may not create multiple accounts, impersonate another person, or share your account credentials.
- You must be at least 16 years of age to create an account. Users under 16 may only access the Platform through an institutional account with verifiable parental or guardian consent.
- We reserve the right to suspend or terminate accounts that violate these Terms.
3. Learner Terms
- Course access is granted through entitlements, which may be earned via purchase, free enrolment, instructor grant, voucher, organisational licence, or subscription.
- Course content (videos, materials, quizzes) is for your personal, non-commercial use only. You may not download, redistribute, resell, or publicly share course content unless explicitly permitted by the instructor.
- You are responsible for the originality and integrity of any work you submit (assignments, discussion posts). Plagiarism or academic dishonesty may result in course access revocation.
- Your learning progress, quiz scores, and engagement data may be visible to the course instructor and, where applicable, your institutional administrator.
4. Instructor Terms
- To become an instructor, you must apply and be approved. Approval is at our sole discretion.
- You retain ownership of the content you create and upload. By publishing on WaveLearn, you grant us a non-exclusive, worldwide licence to host, display, distribute, and promote your content on the Platform (see Section 10).
- You set your own course prices in Kenyan Shillings (KES). You may also offer courses for free.
- Revenue is shared between you and WaveLearn based on the commission percentage in effect at the time of the transaction. Your net earnings are available for payout via M-Pesa or bank transfer.
- You are responsible for the accuracy, legality, and quality of your course content. Content must not infringe on any third party’s intellectual property rights.
- We reserve the right to unpublish or remove content that violates these Terms, receives sustained negative feedback, or is found to be misleading.
5. Institutional Terms
- Organisations (universities, schools, training institutions) may apply for an institutional account to manage members, classrooms, and course assignments.
- Organisation administrators are responsible for managing their members and ensuring compliance with these Terms within their institution.
- Institutional accounts that enrol minors (under 16) must obtain and retain verifiable consent from a parent or guardian before granting platform access.
- Classroom features (assignments, attendance, groups, announcements) are provided as-is. Institutional licensing terms may be agreed separately.
6. Payments & Billing
Payment Methods
WaveLearn accepts payments via M-Pesa (Safaricom), credit/debit cards, and bank transfers. All course prices are displayed in Kenyan Shillings (KES). Payment processing is handled by Flutterwave and IntaSend — WaveLearn does not store your card numbers or M-Pesa PINs.
Course Purchases
When you purchase a course, you receive a perpetual entitlement to access that course’s content for as long as the course remains on the Platform. Course access is non-transferable.
Instructor Payouts
Instructor earnings are calculated after deducting the platform commission. Payouts are processed to your registered M-Pesa number or bank account. Payout schedules and minimum thresholds are communicated in the instructor dashboard.
Taxes
You are responsible for any applicable taxes on your transactions. Instructors are responsible for reporting and paying taxes on their earnings in accordance with Kenyan tax law.
7. Refund Policy
- If you are unsatisfied with a purchased course, you may request a refund within 7 days of purchase, provided you have completed less than 30% of the course content.
- Refund requests should be submitted to support@wavelearn.co.ke with your transaction details.
- Approved refunds are processed to the original payment method within 7–14 business days, depending on the payment provider.
- We reserve the right to deny refund requests that appear fraudulent or abusive, or where the majority of course content has been consumed.
- Free courses and courses accessed via voucher, grant, or institutional licence are not eligible for monetary refund.
8. Certificates
- WaveLearn automatically generates a PDF certificate when you complete all required lessons in a course.
- Each certificate includes a unique verification code. Third parties (employers, institutions) can verify certificate authenticity at www.wavelearn.co.ke using this code.
- Certificates attest to course completion only. They do not constitute accredited degrees, professional licences, or government-recognised qualifications unless explicitly stated by the issuing institution.
- Tampering with, forging, or misrepresenting a WaveLearn certificate is a violation of these Terms and may result in account termination and legal action.
9. Live Sessions
- Instructors may conduct live streaming sessions for their courses. Live sessions may be recorded and made available as replays.
- Chat messages sent during live sessions are visible to all participants and may be stored for replay purposes.
- You must not use live sessions to broadcast, share, or distribute harmful, illegal, or offensive content.
- Instructors may moderate chat (pin messages, delete messages) and manage attendance as they see fit.
10. Content Ownership & Licensing
Your Content
You retain ownership of any content you create or upload to the Platform (course materials, assignments, discussion posts, notes). By submitting content, you grant WaveLearn a non-exclusive, royalty-free, worldwide licence to host, display, cache, and distribute that content as necessary to operate the Platform.
WaveLearn Content
The Platform’s design, branding, logos, user interface, and proprietary features are owned by Wavelink Networks. You may not copy, modify, or redistribute any part of the Platform without written permission.
Intellectual Property Claims
If you believe that content on the Platform infringes your intellectual property rights, contact us at support@wavelearn.co.ke with a description of the claim. We will investigate and take appropriate action, which may include removing the content.
11. Acceptable Use
You agree not to:
- Use the Platform for any unlawful purpose or in violation of Kenyan law.
- Upload, post, or transmit content that is defamatory, obscene, fraudulent, threatening, or that infringes on any third party’s rights.
- Attempt to gain unauthorised access to other users’ accounts, the Platform’s infrastructure, or any connected systems.
- Use automated tools (bots, scrapers, crawlers) to access, extract, or manipulate Platform content or data without written permission.
- Interfere with the Platform’s operation, performance, or availability.
- Download, record, or redistribute course content (videos, materials, quizzes) beyond what is permitted for personal learning use.
- Engage in harassment, bullying, or discrimination in discussions, live sessions, or any Platform communication channel.
- Sell, resell, or commercially exploit access to the Platform or its content.
Violation of these rules may result in content removal, account suspension, or permanent termination at our sole discretion.
12. Privacy
Your use of the Platform is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal data in compliance with the Kenya Data Protection Act 2019.
13. Disclaimers
- The Platform is provided on an “as is” and “as available” basis. We make no warranties, express or implied, regarding the Platform’s availability, accuracy, or fitness for a particular purpose.
- Course content is created by independent instructors and institutions. WaveLearn does not guarantee the accuracy, completeness, or quality of any course.
- WaveLearn does not guarantee employment outcomes, professional advancement, or academic credit as a result of completing courses.
- We do not guarantee uninterrupted access. The Platform may experience downtime for maintenance, updates, or circumstances beyond our control.
14. Limitation of Liability
To the maximum extent permitted by Kenyan law:
- WaveLearn and Wavelink Networks shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Platform.
- Our total liability for any claim arising from these Terms shall not exceed the amount you paid to WaveLearn in the 12 months preceding the claim.
- This limitation applies to all causes of action, whether based in contract, tort, strict liability, or any other basis.
15. Termination
- By you — you may close your account at any time by contacting support@wavelearn.co.ke. Closing your account will revoke access to purchased courses and certificates. Transaction records will be retained as required by law.
- By us — we may suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, or if required by law. We will make reasonable efforts to notify you, except where prohibited by law or where immediate action is necessary to protect the Platform.
- Provisions regarding content ownership, limitation of liability, governing law, and any obligations that by their nature should survive, will survive termination.
16. Governing Law & Disputes
These Terms are governed by and construed in accordance with the laws of the Republic of Kenya. Any disputes arising from these Terms or your use of the Platform shall be submitted to the exclusive jurisdiction of the courts of Kenya.
Before initiating legal proceedings, you agree to first attempt to resolve disputes informally by contacting us at support@wavelearn.co.ke. We will make good-faith efforts to resolve your concern within 30 days.
17. Changes to These Terms
We may revise these Terms from time to time. Material changes will be communicated via an in-app notification or email at least 14 days before they take effect. The “Effective” date at the top reflects the latest revision. Continued use of the Platform after the effective date constitutes acceptance of the updated Terms.
